BYMA commitment to the compliance of the provisions in force on anti-corruption and ethics in line with the new Argentine Corporate Criminal Liability Law No. 27,401, its Regulatory Executive Order No. 277/18, and the regulations issued by the Anti-Corruption Department and the National Securities Commission (CNV).

BYMA is absolutely committed to the compliance of the provisions in force on anti-corruption and ethics and, in line with the new Argentine Corporate Criminal Liability Law No. 27.401, its Regulatory Executive Order No. 277/18, and the regulations issued by the Anti-Corruption Department and the National Securities Commission (CNV), BYMA has issued an INTEGRITY PROGRAM which includes an “Ethics and Audit Committee” as its enforcement authority, a “Code of Business Conduct and Ethics” approved by the Board of Directors and an “Integrity Officer”. BYMA has also created a Helpline, and has been providing continuous training activities and other elements and complementary actions.

Such measures are part of the commitments BYMA has undertaken since its creation and they are continuously being renewed and updated in accordance with the highest standards in Ethics and Corporate Governance.

The Code of Ethics and Professional Conduct, which has already been approved by BYMA Board of Directors, constitutes a reference framework which aim is to unify internal conduct criteria in order to enhance corporate practices and ensure ethical conduct.

Staff training and the creation of a long-lasting ethical culture throughout the Company constitutes a key element that goes beyond mere practical issues related to prevention and control.

In order for the elements of the Integrity system to be effective, it is essential to hold a distinguished position within the Company for implementing and executing said elements, which are part of the Integrity Program, therefore providing value and reliability to the corporate structure.

In this sense, the BYMA Board of Directors has appointed an Integrity Officer, who is responsible for the development, coordination and oversight of the Integrity Program related activities and actions to be taken, and who reports directly to the Ethics and Audit Committee.

BYMA has an Ethics Compliance Helpline managed by KPMG, a leading company in the protection of whistleblowing confidentiality and anonymous reports, offering different communication channels to raise concerns, seek advice on, or report suspected conducts contrary to the principles the Code of Ethics and Professional Conduct.

The Integrity Officer shall be in charge of this e-mail account and shall act jointly with the Ethics and Audit Committee in the clarification of the facts arising thereto, and on the application of any possible sanctions or penalties, while taking all the necessary steps to ensure information confidentiality.

BYMA Staff must be aware and understand the contents of this Code and any amendments thereto, and must fully comply with the provisions stated therein, collaborate in its application, and take part in the training programs organized by the Entity.
